Terms of service.

The following contract and its terms will set forth an agreement between RK Management Services Inc. DBA Coastal Events (“Coastal”) and the customer identified in an issued invoice (the “Customer”, collectively, the “Parties”) for services as specified in an issued invoice (the “Services”). This written contract sets forth the full, written intention of both Parties and supersedes all other written and/ or oral agreements between the Parties. Service. Coastal will arrive at the event space at the address specified by Customer (the “Event Space”) on the date designated for the event (the “Event Date”, being the “Customer’s Event”) approximately 30-60 minutes prior to the designated start time on the Event Date and ending at the time also designated by Coastal in arranging for the Services (the “Rental Period”).

Pop-Up Picnic Rental. If Customer has designated a pop up picnic event as part of the Services, Coastal agrees to provide low rise tables, place settings, throw pillows and table arrangements (the “Pop Up Picnic”) for the Rental Period. Customer will arrange for free and clear access to the Event Space and will supply any necessary tickets, badges or other items needed for entry to the Coastals’ representative at the Customer's expense. Customer will arrange for an appropriate space for the Pop Up Picnic at the Event Space based on the number of people attending the Event. If the Pop Up Picnic is to be placed outdoors, Customer is responsible for any overhead coverage for the Pop Up Picnic if desirable for rain protection. At additional cost Coastal will supply tent coverage for the Pop Up Picnic at the request of the Customer.

Photo Booth Rental. If Customer has designated a photo booth rental as part of the Services, Coastal agrees to have a photo booth (the “Photo Booth”) operational for a minimum of 80% during the Rental Period; occasionally, operations may need to be interrupted for maintenance of the Photo Booth (changing photo paper, adjusting camera, adjusting printer, lighting etc., when applicable) to achieve a quality product. In the event Coastal is unable to supply the Photo Booth for at least 80% of the Rental Period, the Customer shall be refunded a prorated amount based on the amount of service received. If the printer fails to print out photos onsite Coastal will be allowed to give a web site to the Customer where their guests can log onto and order prints free of charge with free shipping as well as the ability to download the digital files for their own use. The information for the photo prints such as name and logo must be provided by the Customer at least 2 weeks prior to the Event Date or Coastal will use the Coastal default photo template. Customer will arrange for free and clear access to the Event Space and will supply any necessary tickets, badges or other items needed for entry to the Coastal's representative at the Customer's expense. Customer will arrange for an appropriate space for the Photo Booth at the Event Space. The Photo Booth requires a space 10’ deep x 8’ wide x 8’ high with safe and appropriate working conditions and a solid floor. Customer will supply a 6ft long table or 2 short tables for the Photo Booth at the Event Space. Customer is responsible for ensuring power is available for the Photo Booth within at least 10 feet from the location of the Photo Booth. (110V, 5 amps, 3 prong outlets on a dedicated circuit). Any delay in the performance or damage to the Photo Booth due to improper power is the responsibility of the Customer. If the Photo Booth is to be placed outdoors, Customer agrees to provide complete overhead coverage for the Photo Booth and backdrop for the entire duration of the Customer’s Event.

VW Bus Rental. If Customer has designated a VW bus rental as part of the Services, Coastal agrees to have a VW Bus (the “VW Bus”) available for the Rental Period; the VW Bus shall be for show use only and shall not be driven by Customer. In the event Coastal is unable to supply the VW Bus for at least 80% of the Rental Period, the Customer shall be refunded a prorated amount based on the amount of service received. Customer will arrange for free and clear access to the Event Space and will supply any necessary tickets, badges or other items needed for entry to the Coastals’ representative at the Customer's expense. Customer will arrange for an appropriate space for the VW Bus at the Event Space. The VW Bus requires a space 10’ deep x 20’ wide x 8’ high with safe and appropriate working conditions and a solid ground. The VW Bus requires access for driving to and from a flat unloading area on a public road which the Customer shall ensure. If the VW Bus is to be placed outdoors, Customer is responsible for any overhead coverage for the VW Bus if desirable for rain protection. At additional cost Coastal will supply tent coverage for the VW Bus at the request of the Customer.

Payment Terms Service Fee. The service fee (the “Service Fee”) is as designated in the invoice provided to the Customer when booking the Services. The Service Fee will encompass only items and/or services included within the Services designated on the invoice. No items/ services shall be agreed to outside of the Rental Information whether written, oral or applied. Coastal will be under no duty to perform its obligations under this Agreement until such time as Customer has paid the Service Fee in full. A non-refundable deposit (the “Deposit”) is required to reserve the Services. Your event is NOT booked until the Deposit is received. Unless otherwise agreed and specified on an issued invoice, the balance of the Service Fee is due within three days after the Event Date. Payments can be made via e-transfer, PayPal or major credit cards. Reservations are made on on a "first come, first served" basis. Coastal may waive or adjust any payment deadlines for the Customer at its discretion in the event of last minute bookings.

Change of Date or Venue. If subsequent to this Agreement, the Customer wishes to change the Event Date, Coastal will make best efforts to accommodate the Customer and provide services on the changed date. If Coastal is not available on the new event date, Coastal shall be entitled to keep the Deposit and neither party shall have any further liability or obligation under this Agreement. If Customer reschedules the event, and the new date is in the following calendar year, any new pricing in effect at that time shall apply and the Customer shall within one hour of approval of the change in Event Date make payment of the updated balance of the Deposit. Coastal may, without penalty, substitute another provider to provide photo booth or issue a full refund in the event of Coastal’s illness or of scheduling conflicts. In the event of such substitution, the Coastal warrants that the provider taking the photographs shall be a competent professional. Any request for Event Space location change must be made at least five days in advance of the Rental Period. Additional travel fees may apply if the Event Space is more than 50 km from White Rock, British Columbia.

Cancelation. If Customer cancels the Customer’s Event, Customer shall immediately notify Coastal of such cancellation and the Deposit will be forfeited.

Force Majeure. Neither Coastal or Customer shall be held responsible or liable if the fulfillment of any terms or provisions of this Agreement are delayed or prevented by any cause not within the control of the party whose performance is interfered with, and which by the exercise of reasonable diligence, the party is unable to prevent, whether of the class of causes enumerated before or not.

Damage to Coastal’s Equipment. Customer acknowledges that it shall be responsible for any damage or loss to the Pop Up Picnic, Photo Booth and/or VW Bus (each or any, the “Equipment”) caused by (1) any misuse of the Equipment by Customer or its guests, whether invited or uninvited; (2) any damage of the Equipment occurring while Equipment is at the Event Space; (3) any form of theft; and/or (4) any disaster including but not limited to fire, floods or an earthquake. The amount and value of any damage to the Equipment shall be determinable Coastal at its sole discretion and Customer hereby authorizes Coastal to charge its credit card for any such damage as determined by Coastal without further notice or dispute. Customer further acknowledges that Coastal shall have the express right to decline services to Customer’s guests either invited or uninvited, for misuse, inappropriate photos and or unruly behaviour.

Indemnification and Release. Customer shall indemnify, defend and hold harmless Coastal against any and all loss, damages, claims, liability and costs arising from Customer's negligence or misconduct related to Customer’s Event. Customer agrees that the Coastal's maximum liability for any claims, breaches, or damages by reason of any act or omission, including breach of contract or negligence, shall be limited to the dollar amount paid by Customer pursuant to this Agreement. Customer agrees that Coastal shall not under any circumstances be liable for any claims for emotional distress, mental anguish, punitive damages, injuries, consequential damages, lost profits, loss of enjoyment, lost revenues and/ or replacement costs. Customer agrees to indemnify, defend and hold harmless Coastal, its employees and agents for any injury, disability, death, property damage, liability, claim or other cause of action arising out of or related to the Customer’s Event or caused by the operating, handling, or transporting the Equipment at the Customer’s Event, including but not limited to, damages caused by the actions of the Coastal or other third parties at Customer’s Event and the online posting of images from Customer’s Event. Customer acknowledges and agrees that these limitations and requirements reflect a fair allocation of risk and that Coastal would not enter into this Agreement without these specific limitations on its liability and indemnification requirements. Customer hereby agrees to and understands that all guests using the Photo Booth or other equipment hereby give Coastal the right and permission to copyright and use, photographic portraits or pictures of any Photo Booth user who may be included intact or in part, made through any and all media now or hereafter known for illustration, art, promotion, advertising, trade, or any other purpose. In addition, Customer hereby releases, discharges and agrees to hold harmless Coastal, for itself and each of its guests or any other person attending at the Customer’s Event from any liability, that may occur or be produced in the taking of any pictures or in any subsequent processing thereof, as well as any publication thereof, including without limitation any claims for libel or invasion of privacy.

Attire. Coastal's staff may be presented in shirts depicting our company name & logo.

Internet Access. When applicable, the Equipment requires reliable access to internet connection when sending image files instantly. In the event that the internet is not available, SMS and email will queue and all submissions and be sent once the internet becomes available. Customer understands that the Coastal is not responsible for internet reliability and cannot guarantee that reliable data signals will be available. If no coverage becomes available at the Event Space, Coastal will send all digital copies to the Customer and guests within 7 days of the Event Date. All uploaded photos from the Customer’s Event may be deleted within 10 days after the Rental Period.

Entire Agreement and Modification. This Agreement, together with any details on an invoice, constitutes the entire agreement between the Parties. No modification or amendment of this Agreement shall be effective unless in writing and signed by both Parties. This Agreement replaces any and all prior agreements between the parties whether written or oral. Warranty. Coastal warrants that the Equipment is in good working condition, but makes no further warranties, express or implied. Rights on Default. In addition to any other rights afforded Coastal by law, if the Customer is in default under this Agreement, without notice to or demand on the Customer, Coastal may take possession of the Equipment, claim and assess the Customer the costs of recovery (including attorney fees and legal costs), repair, and related costs, and hold the Customer responsible. The rights and remedies of the Coastal provided by law and this Agreement shall be cumulative in nature. Right to Safe Work Environment. Customer will be responsible for and shall ensure that Coastal's employees, representatives, agents or contractors are provided a safe work environment free from hazards, attacks, threats of violence, unruly behaviour or any harassment sexual, racial or otherwise in nature. The Customer acknowledges Coastal shall have the right to decline service to any of the Customer's guests (invited or uninvited), for misuse, unruly behaviour or threats. In the case Coastal or its representative feels unsafe in anyway, Coastal may take possession of the Equipment, claim and assess the Customer the costs of recovery (including attorney fees and legal costs), repair, and related costs, and hold the Customer responsible. No refunds will be made in whole or in part and all monies paid will be retained for value received. The rights and remedies of the Coastal provided by law and this Agreement shall be cumulative in nature.

Dispute Resolution. To ensure a timely and economical resolution of disputes that arise in connection with this Agreement, the Parties agree that any and all disputes, claims or causes of action arising from or relating to enforcement, breach, the performance and interpretation of this Agreement shall be resolved to the fullest extent permitted by law by final and binding arbitration by a single arbitrator in British Columbia. Governing Law. This Agreement shall be construed in accordance with the laws of Canada and the Province of British Columbia.

Sever ability. If any portion of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision, it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

Waiver. The failure of either Party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement.

Confidentiality and Data Protection. The Parties shall ensure appropriate operational and technical measures are in place to safeguard against any unauthorized access, loss, destruction, theft, use or disclosure of personal data shared in connection with this Agreement.

Acceptance. Placement of a deposit for an event in connection with an issued invoice is acceptance of this agreement by Customer and these standard terms and conditions.
